SIE Plan

Overview of the Regulatory Framework

Short answer

Section 4 is the smallest on the exam at 7 of the 75 scored items. It covers SRO registration and continuing education requirements for associated persons, including statutory disqualification, fingerprinting and background checks, and then employee conduct and reportable events: Forms U4 and U5, outside business activities, private securities transactions, political contributions, gifts and reportable financial events.

Why it matters on this exam

Seven items. Study it last, and study it briskly — this is the section where candidates most often over-invest because it looks weighty. It is nine percent of the exam.

It does deserve some attention, because the content is almost entirely discrete facts that either stick or do not, and because it is where the SIE connects to what happens after you pass and join a firm.

Key concepts

Common mistakes

Worked example

A registered representative is charged with a financial-related misdemeanour. That is a reportable event, and it reaches the exam through the Form U4: the form must be updated, and the outline draws specific attention to the consequences of omitting information or filing something misleading. The representative does not get to decide the matter is personal — the reporting obligation is what section 4 is testing.

Continuing education for associated persons is divided into which two components?

  1. AThe Firm Element and the Regulatory Element
  2. BThe Annual Element and the Regulatory Element
  3. CThe Firm Element and the Supervisory Element
  4. DThe Statutory Element and the Regulatory Element
Show answer and rationale

Correct: A. The two components are the Firm Element, delivered by the employing firm and tailored to its business, and the Regulatory Element, prescribed by the regulator. Naming them correctly is a reliable item.

  • B — There is no Annual Element; the firm-delivered component is called the Firm Element.
  • C — There is no Supervisory Element in the continuing education structure.
  • D — Statutory disqualification is a separate concept and is not a continuing education component.

A registered representative is charged with a financial-related misdemeanour. What does the SIE outline treat this as?

  1. AA customer complaint requiring an entry in the firm's records
  2. BA reportable event requiring the Form U4 to be updated
  3. CA private matter outside the scope of the registration forms
  4. DAn outside business activity requiring firm pre-approval only
Show answer and rationale

Correct: B. Felonies, financial-related misdemeanours, liens and bankruptcy are listed as reportable events in section 4. The outline separately flags the consequences of omitting information or filing something misleading.

  • C — The outline lists these explicitly as reportable, so they are not treated as private.
  • D — Outside business activities are a separate reportable category concerning other employment.
  • A — A customer complaint arises from a customer, not from a criminal charge against the representative.
Overview of the Regulatory FrameworkDifficulty 2/5

An individual passes the SIE. What does this allow them to do?

  1. ATransact securities business for four years before further registration is needed
  2. BSupervise registered representatives while a qualification exam is completed
  3. CNothing on its own; a qualification exam and firm association are also required
  4. DRegister with a member firm immediately and begin transacting securities business
Show answer and rationale

Correct: C. FINRA states that passing the SIE alone does not qualify an individual for registration or to engage in securities business. Registration needs the SIE plus a qualification exam, and that second exam requires firm association.

  • D — Registration requires a qualification exam in addition to the SIE.
  • A — The four-year figure is how long SIE results stay valid, not a licence to transact.
  • B — Supervision requires a principal-level registration, which the SIE does not confer.
